Terms of service

Welcome, and thank you for your interest in Naoday ("Naoday", "we", or "us") and our websites at https://naoday.com and https://naoday.ai ("Site"), along with our related websites, networks, applications, and other services provided by us (collectively the "Services"). These Terms of service are a legally binding contract between you and Naoday regarding your use of the Service.

The Services are offered by Naoday Limited based at 99 King Fuk ST, San Po Kong, Hong Kong.

1. Your agreement to these terms of service

These Terms govern your access to and use of the Site and Services. By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to all of these Terms, you must not access or use the Services. Your access to and use of the Services are also conditioned on your acceptance of and compliance with our Privacy Policy.

We reserve the right to modify, update, or replace these Terms at our sole discretion at any time. The most current version will be posted on this page. It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of any revised Terms constitutes your acceptance of such changes.

2. Eligibility

You must be at least 13 years of age, or the minimum age of digital consent in your jurisdiction, whichever is higher. By agreeing to these Terms, you represent and warrant that: (a) you meet this age requirement; (b) you have not previously been suspended or removed from the Services; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations.

If you are under the age of 18 (or the age of majority in your jurisdiction), you may only use the Services with the permission and under the supervision of your parent or legal guardian. If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Accounts and security

Certain features of the Services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@naoday.com upon becoming aware of any unauthorized access to or use of your account. Naoday will not be liable for any loss or damage arising from your failure to comply with these security obligations.

We reserve the right to suspend, terminate, or otherwise restrict your account or access to the Services, with or without notice, at any time and for any reason, including if we suspect a violation of these Terms. You may request deletion of your account by contacting us at support@naoday.com.

4. Prohibited conduct

By using the Services, you agree not to, and not to permit or encourage any third party to:

  1. Use the Services for any illegal purpose or in violation of any local, state, national, or international law or regulation, including any applicable terms governing the use of underlying artificial intelligence models;
  2. Generate, distribute, or process personal data in a manner that violates any individual's privacy rights, constitutes harassment, or could lead to harm, including but not limited to generating personally identifiable information without consent;
  3. Infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or other legal rights of any third party;
  4. Create content that is defamatory, obscene, pornographic, harassing, threatening, intimidating, hateful, racially or ethnically offensive, or that encourages conduct that would be considered a criminal offense;
  5. Use the Services for fully automated decision-making that produces legal effects concerning an individual or similarly significantly affects an individual, except with explicit consent or as permitted by applicable law;
  6. Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures;
  7. Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
  8. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
  9. Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

5. Technical restrictions

You agree not to:

  1. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Services or any software, documentation, or data related to the Services;
  2. Modify, translate, or create derivative works based on the Services or any Materials (except to the extent expressly permitted by Naoday or authorized within the Services);
  3. Use the Services in any manner that could damage, disable, overburden, or impair any Naoday server, or the network(s) connected to any Naoday server, or interfere with any other party's use and enjoyment of the Services;
  4. Bypass any measures we may use to prevent or restrict access to the Services, including other accounts, computer systems, or networks connected to the Services.

6. Content and license

You may provide input to the Services ("Input"), and receive output generated by the Services based on that Input ("Output"). Together, Input and Output are referred to as "Content". Content may include, without limitation, prompts, text, URLs, code, images, videos, data, datasets, documentation, or any other materials or information you submit to or receive from the Services.

You retain copyright and any other proprietary rights that you may hold in the Input. As between you and us, you own the Output generated by the Services in response to your Input.

By using the Services and submitting or generating Content, you grant to us and our affiliates, service providers, and partners, a non-exclusive, worldwide, royalty-free, sublicensable, transferable, irrevocable, and perpetual license to use your Content solely to the extent necessary to:

  1. Operate, provide, maintain, improve, and develop the Services;
  2. Ensure the functionality, security, and integrity of the Services;
  3. Comply with applicable laws, regulations, legal obligations, or law enforcement requests;
  4. Enforce our Terms, policies, and rights. For purposes of this Section, "use" includes, not limited to reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit the Content, only to the extent necessary for the purposes described above.

7. Disclaimer regarding artificial intelligence output

Artificial intelligence is a complex and continually evolving technology. While we strive to improve the accuracy, reliability, safety, and usefulness of our Services, you acknowledge and agree that the Services may produce content that is imprecise, incomplete, outdated, or otherwise inaccurate due to the inherent limitations of these technologies. By using the Services, you understand and agree to the following:

  1. Output is not guaranteed to be accurate. The output may not always reflect real people, places, facts, events, etc. You should not treat output as a substitute for professional judgment or advice.
  2. You are solely responsible for evaluating the accuracy, completeness, legality, and appropriateness of any output for your specific use case. Where the output may affect real-world decisions or actions, human verification is strongly recommended.
  3. You may not use any Output relating to an identifiable individual in a manner that could have a legal, financial, reputational, or material impact on that person. This includes, but is not limited to, decisions concerning credit, education, employment, housing, insurance, medical care, legal matters, or other areas with significant personal consequences.
  4. The Output generated by the Services is produced algorithmically and does not represent the views, values, or opinions of us, even if it appears to make statements about sensitive topics. The presence of references to third-party products, services, or entities in Output does not imply any endorsement, affiliation, or relationship with such third parties.

8. Paid services and payment

We may offer certain features or functionalities free of charge ("Free Services"), while others may require payment before access is granted ("Paid Services"). Whether you are using Free Services or subscribing to Paid Services, you agree to use the Services only in compliance with these Terms and all applicable laws and regulations. The scope, features, pricing, and applicable terms of each Paid Service are described in detail on the corresponding product within the Platform. You are responsible for reviewing those details before subscribing. We reserve the right, in our sole discretion, to modify or discontinue any part of the Services at any time. If we increase our subscription prices, we will give you at least 30 days' notice and any price increase will take effect on your next renewal so that you can cancel if you do not agree to the price increase.

If you subscribe to a paid service, you will provide complete and accurate billing information, including a valid payment method. We will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. If your payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.

Once subscribed, a refund may be requested within twenty-four (24) hours from the time the transaction was processed. If no refund request is received within twenty-four (24) hours following the purchase, the subscription becomes non-refundable. To request a refund within the eligible period, you can contact us at support@naoday.com.

Our payment process is conducted by our payment processor Airwallex. Airwallex processes payment details and related billing services under its own terms. See Airwallex's terms for details.

9. Proprietary rights

The Service is owned and operated by Naoday. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service ("Materials") provided by Naoday are protected by intellectual property and other laws. All Materials included in the Service are the property of Naoday or our third-party licensors. Except as expressly authorized by Naoday, you may not make use of the Materials. Naoday reserves all rights to the Materials not granted expressly in these Terms.

10. Third party services

The Services may integrate with, contain links to, or be powered by third-party websites, services, or content (including AI models) that are not owned or controlled by Naoday ("Third-Party Services"). Naoday does not endorse or assume any responsibility for any Third-Party Services. Your access and use of Third-Party Services are governed solely by the terms and conditions and privacy policies of those third parties. You expressly relieve Naoday from any and all liability arising from your use of any Third-Party Service.

11. Disclaimer of warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NAODAY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NAODAY MAKES NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY OUTPUT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NAODAY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAODAY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR OUTPUT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN. IN NO EVENT SHALL NAODAY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID NAODAY IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED HONG KONG DOLLARS (HKD 100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Naoday and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, Your Content, your use of any Output, your interaction with any other user, and your violation of any applicable law or the rights of a third party.

14. Governing law

These Terms will be governed by and construed in accordance with the laws of Hong Kong. The Hong Kong courts have exclusive jurisdiction to settle any dispute (including non-contractual disputes or claims) arising out of, relating to or having any connection with these Terms (for the purpose of this clause, a "Dispute") and each party submits to the exclusive jurisdiction of the Hong Kong courts. For the purposes of this clause, each party waives any objection to the Hong Kong courts on the grounds that they are an inconvenient or inappropriate forum to settle any Dispute.
